1. Who you're contracting with
These Terms & Conditions ("Terms") form a binding agreement between you and ACLL&R Holding OÜ, a private limited company registered in Estonia, trading as "Prompt Forge" ("Prompt Forge", "we", "us"). By creating an account or otherwise using Prompt Forge (the "Service"), you agree to these Terms.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you are using the Service as an individual, you represent that you are of legal age in your jurisdiction.
2. The Service
Prompt Forge helps you author, refine, store, and test prompts for large language models. Features and limits depend on the plan you subscribe to and may change over time as we improve the Service.
3. Accounts
- You must provide accurate registration information and keep it up to date.
- You are responsible for keeping your credentials confidential and for all activity under your account.
- You must notify us promptly of any unauthorised use of your account.
4. Acceptable use
You must not misuse the Service. In particular, you agree not to:
- Use the Service in violation of any applicable law or regulation.
- Engage in fraud, phishing, spam, or other deceptive practices.
- Infringe any third-party intellectual property or privacy rights.
- Introduce malware, probe, scan, or test the vulnerability of the Service, or interfere with its security or integrity.
- Scrape, harvest, or otherwise extract data from the Service in bulk except via features we provide for that purpose.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
- Resell, sublicense, or redistribute the Service without our written consent.
- Circumvent quotas, rate limits, or other technical limitations.
5. Generative AI content
Prompt Forge integrates with third-party large language models. You are responsible for the prompts you submit, for verifying the accuracy of outputs, for ensuring you have the rights to any content you input, and for how you use outputs. You must not use the Service to generate:
- Illegal content, or content that facilitates illegal activity.
- Sexual content involving minors, or non-consensual intimate imagery.
- Content intended to harass, defame, or discriminate against individuals or groups.
- Malware, exploits, or instructions designed to compromise systems.
- Deceptive impersonation of real people (deepfakes) or synthetic media without appropriate disclosure and consent.
- Content designed to jailbreak, evade, or subvert the safety controls of underlying models.
Model outputs may be inaccurate, incomplete, or biased. Do not rely on outputs as professional advice (legal, medical, financial, or otherwise) without independent verification and appropriate human oversight.
We may filter, restrict, or refuse outputs, remove content, and suspend accounts to enforce these Terms or the acceptable use policies of upstream providers. If you believe content on the Service infringes your rights, contact legal@promptforge.app; repeat infringers will have their accounts terminated.
6. Your content
You retain ownership of the prompts, inputs, and other content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely to operate, secure, and improve the Service for you.
7. Our intellectual property
The Service, including its software, design, branding, and documentation, is owned by ACLL&R Holding OÜ and its licensors and is protected by intellectual property laws. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable right to use the Service.
8. Payments, billing, and cancellation
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms and our Refund Policy.
Paid plans renew automatically at the end of each billing period until cancelled. You can cancel at any time via the customer portal; access continues through the end of the paid period.
9. Service availability
We work hard to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or free of harmful components. We may modify, suspend, or discontinue features from time to time.
10. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, for:
- Material breach of these Terms;
- Non-payment of fees;
- Suspected fraud, security, or safety risk;
- Repeated or serious violations of our acceptable use policy or applicable law.
You may stop using the Service at any time and cancel your subscription via the customer portal. On termination, you can export Your Content for a limited window before it is deleted from our systems, subject to legal retention requirements.
11. Warranty disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, data, or goodwill.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for fraud or for death or personal injury caused by our negligence).
13. Indemnity
You will indemnify and hold us harmless from any third-party claims arising out of Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
14. Governing law and disputes
These Terms are governed by the laws of Estonia, without regard to its conflict-of-laws rules. The courts of Estonia will have exclusive jurisdiction over disputes arising out of or relating to these Terms, except where mandatory consumer protection law grants you the right to bring proceedings in your country of residence.
15. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16. Force majeure
Neither party is liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, or upstream provider outages.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
